An interactive workshop covering crucial tax and legal issues facing entrepreneurs and their companies during the business lifecycle from start-up, expansion and exit. Our legal experts will give your professional advice on these and many more topics:

A key part of the workshop will be the opportunity to discuss with fellow entrepreneurs tax and legal issues they are facing and what solutions they found to be the most beneficial. About the speakers:
Jim Koshland is a partner at DLA Piper, one of the largest law firms in the world. Mr. Koshland concentrates on emerging growth companies, venture capital, general commercial, and mergers & acquisitions. Mr. Koshland also is extensively experienced in multimillion-dollar technology transfer and license agreements between various technology, software and Internet companies and public offerings and follow-on representation of such public companies as Virage and Immersion. Mr. Koshland also has represented many technology companies in mergers and acquisitions. Mr. Koshland has been recognized as a Norther California Super Lawyer, as the result of research projects conducted by San Francisco and Law & Politics magazines, and the San Francisco Business Times has named him among the best lawyers in the San Francisco Bay area.
David Herzog is an Associate Attorney at Pinnacle Law Group. David’s practice of 18 years focuses on general business and tax law. He advises individuals, small businesses and startups on business entity formation, corporate governance and compliance, mergers and acquisitions, commercial leasing, tax, securities, and intellectual property issues. David is one of a handful of Bay Area attorneys certified as a Tax Specialist under the State Bar of California Certification program. He recently represented a California food processing company as the target of a multi-million dollar acquisition, and loved every minute of it.
Peter Stanwyck is a small business attorney in Oakland, California representing business owners, entrepreneurs and professionals for 40+ years. His practice handles the broad range of legal needs that arise for small and medium sized businesses, with particular emphasis on relationships with customers and clients, vendors, strategic alliances, employees and contractors, investors and between business partners. He is particularly comfortable supporting family and recent émigré owned businesses. When not lawyering or engaged with his college age sons he can usually be found umpiring a baseball game or attempting contact improvisation dance.
Matthew L. Kabak represents established businesses, entrepreneurs and investors in business, intellectual property and real estate transactions and commercial disputes. Matthew has been providing quality, committed and personalized legal services to companies and individuals for over a decade. Matthew earned his J.D from Tulane Law School, 1998 and his B.A. from Whitman College, 1994. He is also a licensed California Real Estate Broker. Matthew is a Member of the Business Law, Intellectual Property and Real Estate Sections of the State Bar of California and the Bar Association of San Francisco.

The EFactor “Legal Advice for Startups” was a highly educational event designed to help our members get professional advice from San Francisco’s top legal experts.
We were excited to see many new members and of course our returning local entrepreneurs that included individuals in diverse businesses ranging from mobile applications, logistics companies, and of course a large group of IT business service owners. Everyone was highly impressed with the panel of lawyers that brought over 25 years of experience in providing legal assistance to entrepreneurs. Each panelist gave their key insights into the issues most commonly faced by founders. From determining when and how to set up a company, to negotiating co-founder agreements, and determining how much equity to give to employees, everyone was able to resolve their most pressing legal issues.
During the networking hour, everyone was very eager to discuss with fellow entrepreneurs legal issues they are facing and what solutions they found to be the most beneficial.
